The pandemic and subsequent lockdowns have considerably impacted companies worldwide, including foreign-invested enterprises in China. With many corporates seeing a decrease in sales and revenues, some are looking to restructuring to cut costs and implement synergies.

 

In this webinar, various restructuring options available in China will be introduced. Topics such as corporate restructuring measures for foreign-invested enterprises in China, and the issues that should be considered from the corporate, employment, and tax perspectives will also be discussed.

    Dr. Ulrike Glueck has been working on-site in China since 1998 and has over 25 years experience in China-related work. She has advised a large number of companies in various industry sectors in projects on M&A, foreign direct investment and restructuring as well as on licensing issues and IP infringements in China. As managing partner of CMS Shanghai Office and head of Corporate Practice Area Group and TMC Sector Group, Mrs. Glueck also led the team in China to win a series of awards at global, regional and country level. These include Leading Firm for IP, Corporate and M&A and TMT in China by Legal 500 in 2017-2023. Mrs. Glueck has been recognized as one of China’s Top 100 Lawyers by China Business Law Journal in 2016, 2017, 2019 - 2022. In 2018-2023, Mrs. Glueck was nominated as Dealmaker of the Year by Thomson Reuters Asian Legal Business.

    Jeanette Yu is Partner and Head of Employment & Pensions of CMS, China. She has more than 20 years’ experience in providing legal advice for international companies on Chinese labour law issues and compliance management in China. Her extensive track record comprises recruitment and dismissal of employees, formulating employee handbooks and implementing its policies, work permits and visa issues of expatriates, international secondment, data privacy, non-competition, social security, trade union and labour disputes. She has also been involved in significant projects of business transactions and restructuring advising clients on employee transfer, relocation and lay-off of employees as well as negotiation of employment contracts and separation agreements. Since 2017, Jeanette has been acting as the National Chair/Vice Chair of HR Working Group of European Chamber of Commerce in China. This year Jeanette is elected as the National Chair of National Chair of HR Working Group of European Chamber of Commerce in China.

    Gilbert Shen is Counsel and Head of Tax of CMS, China. He has been practicing PRC tax law and PRC-related international taxation law since 2006. He is particularly experienced in tax matters concerning the establishment of efficient holding structures, company mergers and restructurings, supply chain optimization, cross-border transactions, tax due diligence and Individual Income Tax advisory and planning. Gilbert started his career with the tax department of a Big 4 accounting firm. He is a CICPA member, CFA charterholder and a Certified Tax Agent of China.
