On 29 December 2023, China enacted its substantially revised Company Law. It now contains 266 articles with sweeping changes in many areas and will take effect on 1 July 2024. Another important deadline is 31 December 2024, by which time older foreign-invested enterprises must adjust their organizational form and other aspects. The revised Company Law includes, among other things:
2023年12月29日，中国颁布了新修订的《中华人民共和国公司法》(下称《公司法》)。修订后的《公司法》包含 266 个条款，其中许多方面都进行了重大调整，并将于2024年7月1日起施行。另外，值得注意的是，在2024年12月31日前，外资企业必须调整其组织形式以及其他方面。修订后的《公司法》主要包括：
Revised capitalization rules 完善公司资本认缴制
Changed internal structure 进一步简化公司组织机构设置
Mandatory involvement of employee representatives 强化职工民主管理
Revised share transfer rules 修订股权转让规则
Liability of legal representatives, directors, officers, controlling shareholders 规范法定代表人、董事、高级职员、控股股东的责任
Formalities 优化手续
