新一版《中华人民共和国公司法》（以下简称“新《公司法》”）将于2024年7月1日施行，对现行《公司法》的实质新增和修改多达110余条，影响重大。

The new Company Law of the People’s Republic of China (hereinafter referred to as the “new Company Law”) is scheduled to come into effect on July 1, 2024. Featuring substantial additions and modifications totaling over 110 articles under the existing provisions, the influence brought by the new Company Law is profound.

实践中，如何规范控股股东、实际控制人和董监高的责任和义务，一直是公司管理、运行实践中的难点。而在公司经营运行中具有重要作用的控股股东、实际控制人和董监高的合规意识又对于公司经营发展有决定性的影响。本次修订对以上“关键少数”的人员责任进行了重点强化，如进一步明确忠实和勤勉义务的具体内容，新增了事实董事、影子董事、影子高管制度，加强对关联交易的规范等等。本次讲座将重点详细解析新《公司法》公司治理相关条款中对董监高设置的新要求，董监高在新《公司法》下应注意哪些新增义务，以及如何规避相关风险。

In practice, regulating the responsibilities and obligations pertaining to controlling shareholders, actual controllers, directors, supervisors, and senior executives has long posed a challenge in corporate management and operational practices. The compliance awareness of these stakeholders, who play critical roles in corporate operations, significantly impacts company development. As such, this new Company Law targets strengthening the responsibilities of these “key minorities,” through delving into the duty of loyalty and care, introducing mechanisms of de facto directors, shadow directors, and shadow executives, and enhancing the oversight of related party transactions, etc. Given these considerations, this lecture will highlight the new requirements for these stakeholders outlined in the provisions relevant to corporate governance in the new Company Law, the new obligations incumbent upon them that should be paid attention to thereunder, and strategies for mitigating associated risks.

另一方面，新《公司法》调整并加强了公司民主管理制度，尤其是职工人数300人以上的公司将特别关注公司职工代表董事制度，本次讲座将详细解析职工董事制度如何操作的问题，也会对公司应如何依据新《公司法》保障职工参与民主管理做出解读。

On the other hand, the new Company Law enhances and refines employee-driven democratic management, particularly within companies with over 300 employees, which shall pay particular attention to employee representatives in the board of directors. This lecture will provide an in-depth examination of how the mechanism of employee representatives in the board functions, and will also explore feasible strategies for companies to effectively facilitate employee participation in democratic management as per the new Company Law.
