China is pushing private companies, including MNCs, to hand more power to employees and other stakeholders. The corporate governance model pursuant to the Company Law incorporates trade unions, workers' congresses, and basic-level Communist Party organizations. These structures, if implemented, can foster a collaborative spirit and a sense of ownership in challenging times. But they can also pose challenges to managerial autonomy, slow down decision making and ultimately interfere with shareholder prerogatives.
In this Virtual Exchange, we will examine the legal and practical dimensions of these mechanisms, including their establishment and operation in foreign-invested companies, and explore how these bodies are formed, how they are governed, how they are funded, and how they interact with management, employees, and business owners.
During this Virtual Exchange, we will discuss:
Overview of the corporate governance framework and the role of company organs.
Introduction to the legal concept of democratic management.
Procedures for creating trade unions, workers' congresses, and party cells.
Methods for integrating these entities into corporate structures.
Navigating conflicts between labor-side input and managerial control.
Strategies for fostering effective communication and collaboration.
About the Virtual Exchange:
The German Chamber Virtual Exchange is our monthly event where members can freely connect and exchange insights on topics related to business in East China. This virtual event aims to provide a platform for sharing experiences, ideas, and best practices.
