In 2026, significant regulatory developments are shaping the operating environment for foreign-invested companies in China. The newly implemented PRC VAT Law and its supporting regulations introduce important adjustments to the VAT framework, while at the same time many companies are reviewing and restructuring their local operations in response to economic changes and strategic realignment needs.
Together with CMS, the German Chamber of Commerce in China - North China invites members and partners to join this hybrid briefing session at the German Centre Beijing, where legal and tax experts will share practical insights on recent developments and structural options for companies operating in China.
The session will cover:
Part I – New VAT Rules
Following the promulgation of the Implementing Regulation of the PRC VAT Law on 30 December 2025, the new VAT framework entered into force on 1 January 2026 together with a series of supporting circulars and announcements.
This session provides an overview of the key regulatory changes and highlights practical implications for companies navigating the updated VAT landscape.
Part II – Reorganising and Reinvestment
Many companies in China are currently adjusting their organisational structures in response to the changing economic environment. This includes carve-outs of business units for potential sales to external investors, restructuring of group entities, and internal reallocations of assets and profits across subsidiaries. This session introduces the key structural options available to implement such restructuring projects and highlights recent regulatory developments, with a particular focus on the latest Chinese rules on the reinvestment of dividends.
This session will introduce key structural options and explain the latest regulatory developments related to the reinvestment of dividends in China.
Participants will also have the opportunity to raise questions and exchange with the speakers during the discussion and networking session.
